S.C.A.L.E.^™

S.C.A.L.E.™ is a legal review service by Monx Legal for companies that already have a draft contract, policy, terms and conditions or other legal/contractual document and want it reviewed before using, sharing, negotiating, signing or publishing it. The draft may have been prepared internally, with AI support, from a template or received from a counterparty.

S.C.A.L.E.™ is designed for startups, founders and growing companies that need legal validation of documents without starting every matter from a full traditional legal drafting process. It is particularly useful for companies that move fast, prepare documents internally and want professional legal accountability before using them.

Yes. Many clients prepare first drafts with AI tools, templates or internal resources. S.C.A.L.E.™ is designed to review those drafts and assess whether they are suitable for the intended use. The AI output is not treated as validated content. Monx Legal reviews the document within the agreed scope and on the basis of the information provided by the client.

Typical documents include commercial agreements, NDA, terms and conditions, privacy and data protection documents, policies with legal relevance, corporate or investment-related documents where agreed, and other legal or contractual documents accepted by Monx Legal.

The client completes onboarding; Monx Legal runs standard checks; the client signs the S.C.A.L.E.™ Framework Engagement Letter; for each document the client completes a short matter intake form; Monx Legal confirms scope, timing and fee through a Matter Confirmation; Monx Legal reviews the document; the client receives either a Green flag or Red flags.

A Green flag means that, based on the review performed, the information provided by the client and the intended use communicated to Monx Legal, the document may be used within the limits of the agreed scope of review.

Red flags are clauses, provisions, omissions or sections that Monx Legal considers should be amended, clarified or further assessed before the document is used. When Red flags are identified, Monx Legal provides a remediation quote together with the review feedback.

A remediation quote is the quote for implementing the amendments suggested by Monx Legal following the identification of Red flags. Remediation work starts only after the client approves the quote.

The standard S.C.A.L.E.™ review covers the legal review and the review outcome. Redrafting, clause amendment, negotiation support and implementation of changes are separate activities, unless expressly included in the applicable Matter Confirmation.

Yes. Clients may activate S.C.A.L.E.™ for a single document or matter on a pay-per-use basis. In that case, Monx Legal provides a Matter Confirmation with scope, timing and fee before starting the review.

Yes. S.C.A.L.E.™ may be used through subscription plans for clients with recurring document review needs. Plans are generally linked to the client’s stage of development, expected document flow and legal complexity.

There are three plans: Early, Build and Growth. The applicable plan is identified on the basis of the information provided during onboarding. Monx Legal considers financing status, amount raised, committed or reasonably expected financing, revenues, team size, expected document flow, operational complexity and legal needs. A bootstrapped company does not automatically qualify as Early.

Yes. If the company has not yet been incorporated, the engagement may initially be entered into by the founder or individuals requesting the service. Once the company is incorporated, Monx Legal may require a new onboarding process, a new engagement letter or an addendum.

S.C.A.L.E.™ is a professional legal review service within a defined scope. For broader legal work, complex transactions, negotiations, regulatory advice, tax matters, litigation or full drafting projects, Monx Legal may propose a separate mandate or Matter Confirmation.

Yes. Professional responsibility for the legal review performed by Monx Legal is assumed within the limits of the Framework Engagement Letter, the relevant Matter Confirmation, the documents reviewed, the information provided by the client and the intended use communicated to Monx Legal. Monx Legal has professional liability insurance coverage, the details of which are disclosed in the Framework Engagement Letter.

For each document, the client provides the document to be reviewed, the intended use, the business context, the relevant counterparty if any, any deadline, specific concerns or clauses to focus on, and any known applicable law or jurisdiction. The review is based on the information provided by the client.

If the document is amended after the review, or if the business context, counterparty, applicable law, intended use or relevant facts change, the document should be submitted again before use.

Timing depends on the document, scope, urgency, length and complexity. The expected timing is confirmed in the Matter Confirmation before the review starts.

Yes. Where needed, Monx Legal may support the client on broader legal matters, including incorporation, commercial contracts, privacy, governance, fundraising, M&A, IP and other legal work. Such work is handled through a separate Matter Confirmation or engagement.
